Associate General Counsel

Cell Signaling Technology, Inc. is seeking a senior associate to join its small, fast-paced legal team. Reporting to the General Counsel, the Associate General Counsel will provide advice, guidance, and strategic counsel to management on a wide variety of contractual, IP and regulatory issues confronting the day-to-day operations of a complex growth organization in a dynamic, fast-paced, environment.


  • Provide legal advice on life science-centered transactions including drafting and negotiating collaboration, development, distribution, license and service agreements with customers, suppliers, licensors, licensees and other third parties, and on the acquisition and sale of intellectual property.
  • Develop thorough knowledge and understanding of Cell Signaling Technology’s business lines, markets, and customers to support the formulation of appropriate advice, structures and strategies, and the ability to convert legal compliance into competitive advantage.
  • Collaboratively and proactively build strong cross-functional working relationships between the Legal Department and other business units (e.g., Finance, HR, Operations, Sales and Marketing, IT and Business Development)
  • Manage and develop standardized deal documents, and contract templates.
  • Simplify complex legal concepts, rules and documents into clear, succinct, actionable guidance for internal clients and customers who have little time for academic debate about gray areas.


  • Law degree from an ABA-accredited law school with strong academic credentials and performance in both law school and college
  • Licensed in good standing to practice law in Massachusetts
  • Successful track record of 5+ years of legal experience, ideally through a combination of law firm and in-house experience with life sciences clients
  • Demonstrable experience successfully supporting a growing business, managing customer and vendor transactions, and drafting and negotiating contracts
  • Ability to prioritize and manage multiple competing and demanding work streams, teams and priorities with genuine curiosity, interest, commitment and urgency
  • Superior written and oral communications skills, as well as strong negotiation skills
  • Highly adaptable and comfortable with uncertainty, ambiguity and competing requirements
  • Experience working with procurement offices in academia, as well as private industry settings is preferred
  • Working knowledge of intellectual property law
